General sales terms applicable as at 01/01/2010. These terms supersede any previous sales terms

PREAMBLE:

If this weren't merely a demonstration website, this is where the sales terms would be outlined. Such sales terms would apply to any sale realized on this website between the seller (see legal notes) and the person or entity wishing to make the purchase, hereafter referred to as the buyer. All statements appearing in these terms are therefore hypothetical in nature, and all verbs conditional, as nothing is actually available for sale, in spite of how good it might look, or how appealing the price.

1- OBJECT

The present sales terms define the contractual relationship between the seller and the buyer, together with the conditions applicable to any sale made via the seller's website. These sales terms take precedence over any other general or specific conditions not explicitly agreed to by the seller. The seller reserves the right to change these sales terms at any moment without prior notice: the sales terms applicable are those in effect at the date of the buyer's order.

2- CHARACTERISTICS OF THE GOODS AND SERVICES OFFERED

The goods and/or services offered for sale are those presented on the seller's website, accompanied by a detailed description. These goods and services are available while stocks last and while displayed on the seller's website. If a product or service is no longer available after an order is placed, the seller will inform the buyer by e-mail; the order will be automatically canceled and no monies will be debited.

3- PRICES

The prices displayed on the seller's website are inclusive of taxes (sales and other relevant taxes) but do not include shipping and handling charges, which will be added, in detail, at the conclusion of the order to the final purchase price. The seller reserves the right to alter the prices of goods or services displayed at any moment; the goods and services will be billed according to the prices in effect when the order is confirmed, and while stocks last. ALL GOODS AND SERVICES REMAIN THE EXCLUSIVE PROPERTY OF THE SELLER UNTIL COMPLETE PAYMENT HAS BEEN RECEIVED.

4 - GEOGRAPHICAL ZONE

Online sales of goods and services offered on this website are reserved exclusively for buyers residing in Canada, Europe, and the USA and for delivery only to these geographical regions.

5- ORDERS

The buyer wishing to purchase a product or service via this website is required to follow the online ordering processes. These include providing personal identification details, a verification and confirmation of the selected goods and services, payment according to the prevailing conditions, and a confirmation of the order and payment. Order confirmation requires that these present sales terms be accepted, that they be acknowledged as being fully understood and that they not be modified in any way nor any additional conditions be adjoined. All information provided by the buyer, together with the order confirmation, are taken as proof of the transaction. The seller will forward the buyer an order confirmation by e-mail representing their acceptance of the order.

6- PAYMENT

Payment is required during the order process. Online payments are conducted using a secured connection in order to protect the information provided during payment from third parties. Monies will not be debited until the order is shipped.

7 - DELIVERY

Deliveries are shipped to the address provided during the order process and are limited to the geographical zones described previously in these sales terms. ONCE THE ORDER HAS LEFT THE SELLER'S OFFICES, ALL RISKS ASSOCIATED WITH DELIVERIES ARE THE SOLE RESPONSABILITY OF THE BUYER. Any complaint relating to damage incurred during shipping must be accompanied by a written reclamation, detailing the damage caused and the reasons for the claim, which is to be sent directly to the transporter, with a copy forwarded to the seller, within three days following delivery. Delivery times are provided for information purposes only and include processing and shipping times. The buyer reserves the right to cancel their order in the event that delivery is delayed longer than seven days. Any refund due in this case for the purchase and for its return shipping is dependent on the goods being returned in their original state. The seller cannot be held responsible for an inability to meet the conditions of the sales contract resulting from natural catastrophes, fire, wars, riots or other such unforeseen events outside of their control.

8- REVOCATION

Individual (non-professional) buyers may, during the 7 days following delivery, return goods purchased for an exchange or full refund; the cost of shipping is to be paid by the buyer. Returned items must be in their original, new and undamaged state (including all packaging, accessories, printed guides etc.) in order that they may be restocked for sale, and are to be returned accompanied by a copy of the purchase invoice. This right does not apply to services or to digitally or other immediately copyable items, nor to personalized products.

9- GUARANTIES

All good and services are covered by the legal guaranties provided for by relevant articles of Canadian cosumer laws. In case of non-conformity, any item may be returned to the seller who will exchange or refund it. All claims of any nature, including exchanges and refunds, must take place in accordance with the terms laid out on the website, and are to be returned accompanied by a detailed, written reclamation and a copy of the invoice in the 30 days following delivery.

10- RESPONSABILITY

The seller, during the process of the online sale, is only responsible for the sales process. The seller cannot be held liable for damages resulting from the usage made of the internet (or other network) used to effect the sale, such as data loss, hacking, virus infection, service disruption or other problems outside its control, including any unforeseen event such as natural disasters, fire, flooding, war, riots etc. Images accompanying articles online are provided for illustrative purposes only and differences may exist with articles received, notably in terms of color. If in doubt, or for any further clarification, contact the seller.

11- NOMINATIVE INFORMATION

Nominative information is required for the purposes of ordering and for the establishment of the commercial and contractual relationship. In accordance with the freedom of information laws relating to digitized personal information, nominative information provided by buyers to the seller may be processed and stocked digitally. Persons providing this information retain the right to access and correct any information concerning them, in accordance with the aforementioned law.

12- INTELLECTUAL PROPERTY

All elements of this website are and will remain the exclusive intellectual property of the seller. Third parties may only use them for their own, private use. Any reproduction, in whole or in part, of any element or part of this website is expressly forbidden.

13- SETTLEMENT OF LITIGATION

The present sales terms are subject to Canadian law. The language of the present contract is the English language. Any legal dispute is wholly subject to Canadian jurisdiction.
